Contractual Dispute Notice

Contractual Breach, Intentional Economic Frustration, and Withheld Intellectual Property

ClickBase Technologies Ltd vs. CapitalCore Outsourcing Ltd — iDriva Project

Executive Summary

This public notice is issued by ClickBase Technologies Ltd to provide a fully documented account of a contractual engagement with CapitalCore Outsourcing Ltd for the development of the iDriva platform.

Despite formal contract award, multiple demonstrations, written acknowledgments, repeated payment assurances, and partial payments, CapitalCore Outsourcing Ltd has failed to settle the outstanding balance of ₦16,400,000.

The software has not been handed over, and intellectual property remains exclusively with ClickBase Technologies Ltd.

This publication presents a chronological evidence-based narrative supported by emails, WhatsApp communications, invoices, payment confirmations, legal notices, and meeting attendance records.

1. Initial Project Approval — Board Authorization

“I have a Board of Directors”
“We operate and practise corporate governance”
“This project has been approved to you”
“And we will have a formality of negotiation”

By her own admission, this was a Board-approved engagement. The subsequent disappearance of the Managing Director, the bouncing of official email communications, and the lack of corporate response suggest a breakdown of the very corporate governance she claimed to uphold.

ClickBase Technologies Ltd is currently reviewing director-level accountability and personal liability under CAMA 2020 for acts of bad faith and corporate misrepresentation.

11. IP Lockdown — Project Dead in the Water

CapitalCore Outsourcing Ltd has spent ₦8.6 Million on a project that is currently a zero-value asset.

Until the ₦16.4 Million outstanding balance is settled:

  • Source code remains locked
  • Architecture remains proprietary
  • Deployment rights withheld

The iDriva platform is effectively dead in the water.

Any attempt by CapitalCore or third parties to rebuild or replicate the system using ClickBase architecture will constitute:

  • Trade secret theft
  • Copyright infringement
  • IP misappropriation

ClickBase Technologies Ltd will enforce all legal remedies available.

14. Pattern Observed — Intentional Economic Frustration

  • Continued delay
  • Communication withdrawal

By withholding ₦16.4 Million while knowing ClickBase Technologies Ltd has operational costs, staff salaries, and infrastructure expenses, CapitalCore Outsourcing Ltd has engaged in Intentional Economic Frustration.

This conduct effectively attempts to financially starve a local technology company after receiving services, a pattern regulators often scrutinize as economic sabotage of service providers.

17. The ClickBase Ultimatum: No Retreat

ClickBase Technologies Ltd is no longer "maintaining a position." We are enforcing a reality that CapitalCore cannot escape. The facts are finalized:

  • CONTRACT: Validly formed and fully binding.
  • DELIVERY: 100% completed.
  • DEBT: ₦16,400,000 of our sweat is being illegally withheld.
  • IP LOCKDOWN: We hold the keys. The iDriva source code is a locked vault.
  • THEFT: Any unauthorized attempt by CapitalCore to access, replicate, or utilize our architecture is a criminal violation of the Copyright Act 2022.

18. The Deadline for Surrender

The window for "amicable settlement" is SLAMMED SHUT. We are no longer waiting for your "Board meetings" or "CFO approvals."

Failure to liquidate the full ₦16,400,000 debt by Wednesday will trigger the following nuclear legal and regulatory actions:

  • MAREVA INJUNCTION: Immediate application to the High Court to FREEZE ALL BANK ACCOUNTS and assets of CapitalCore Outsourcing Ltd across Nigeria.
  • CRIMINAL PETITIONS: Formal filing with the EFCC and ICPC, FCCPC for Fraudulent Inducement and Theft of Service (Obtaining by False Pretence).
  • DIRECTOR ACCOUNTABILITY: Petitioning the CAC and IGP to investigate Endurance Chinelo Umenze-Nwauwah for corporate malpractice and intentional obstruction of debt.
  • PUBLIC BLACKLIST: Formal notification to all Partners and Clients of CapitalCore that they are dealing with an entity that does not honor its sovereign contracts.

FINAL NOTICE
This is not an "engagement." This is a Recovery Operation.
CapitalCore Outsourcing Ltd has a simple choice: Pay the ₦16,400,000 today, or lose ₦50,100,000 and your corporate reputation tomorrow. We have the evidence. We have the law. We have the patience of a hunter.
THE CLOCK IS AT ZERO.
